This agreement made XX/XX/XX by and between ("Producer") and E-Trax Music Limited ("Licensor"), the owner of the rights in the musical work(s) ("Music File(s)/Track(s)") described below.

Subject to the payment of the due fees, the Licensor grants to the Producer a licence to use the Music File(s)/Track(s) described below in the Production for the period, within the territory and for the purpose all as specified hereafter.

11. In consideration of receipt of the specified payment and the agreements set forth herein, the Licensor grants to the Producer the rights set forth in this agreement.

12. Whereby the Licensor is the owner of the certain master recording(s) described above the Licensor grants to the Producer a non-exclusive licence to use those master recording(s) for the purpose outlined above. Under this agreement the Producer is granted a limited right to include the Licensed Master in the Production specified and in the manner specified.

13. The Licensor warrants: (i) that it is the sole owner of the licensed master and hereby has the right to grant the terms of this Agreement. (ii) that it has been granted the rights in writing from  producers artists and musicians for the intellectual property rights associated with the licensed masters.

14. This Licence does not include any right or authority to make changes or alter the licensed master or make any other use of the licensed master not specified herein.

15. The Licensor will retain all rights in and to the Music File/Track except for synchronisation in the Production as described and restricted to in this agreement.

16. The Producer agrees to supply the Licensor with a detailed cue sheet of the Production prior to broadcast or other exploitation of the Production.

17. The Producer shall have the right to assign this Agreement and all rights granted herein to a third party company that licenses or purchases any or all rights to broadcast or distribute the production.

18. The Licensor agrees to issue any such licenses or written agreements to effectuate this Agreement if either is further required by Licensee or by Licensees assignors or licensees.

19. Ownership in the reproductions or sound recording of the Production shall not include ownership in the Licensed Masters which is solely owned by the Licensor.   

20. Any rights not specifically granted and set forth in this Licence are hereby reserved by the Licensor.

21. This licence is also subject to the Terms and Conditions of both the etmusic registration agreement and those of the invoice issued with this licence. Copies of both sets of terms and conditions accompany this licence.

22.  Both parties indemnify and hold harmless the other party, its officers, agents, employees, lawyers and assignees, from and against any and all claims, damages, liabilities, costs and expenses including but not limited to lawyer's fees, arising out of any breach by the other party of any

representation, warranty, term or agreement made or to be performed by this Agreement. 

23. This Licence is to be governed and construed in accordance with English Law. Any disputes shall be subject to the exclusive jurisdiction of the English Courts.
